terms for facilitators
1. who we are, and who you are
Holdspace (holdspace.live) is a software product operated by DRMAMU LLC, 30 N Gould St, Ste N, Sheridan, WY 82801, USA (“Holdspace”, “we” or “us”). in these terms, “you” means the facilitator: the person or business that sells and runs sessions with Holdspace, together with the team members you add. you use Holdspace as a business and not as a consumer, and you must be at least 18 years old.
by signing up, paying for a license, accepting a place in the incubator or otherwise using Holdspace to sell sessions, you agree to these terms, to our privacy policy and to our disclaimer, both of which form part of these terms.
2. what Holdspace is
Holdspace is software to sell and run live online group sessions: your sales & booking page, early-bird and regular tickets, memberships, group tickets, 1:1 sessions in packages, discount codes, an affiliate program, emails and zoom links. you run your sessions; Holdspace provides the tools. once your page is live, Holdspace may list it, with your name, photo, what you do, your intro and a summary of your sessions, on holdspace.live, where people can discover facilitators; write to us if you prefer not to be listed. we may change, add or remove features at any time.
3. your account and your team
you are responsible for keeping your details accurate and your sign-in confidential, and for everything that happens in your dashboard, whether you do it yourself or one of the team members you added does. you may not share, sell or transfer your access to anyone else.
4. plans and fees
Holdspace offers two plans: the pro license, which costs a monthly fee and has no revenue share, and the incubator, which has no monthly fee and instead lets Holdspace keep a share of every payment your participants make. the current plans and prices are always shown on our landing page, and those published numbers apply. the incubator is by application, and Holdspace decides who joins. your revenue share is the one you agreed on with the Holdspace team. the incubator is a revenue-share partnership for as long as you sell through Holdspace. it is not possible to switch between incubator and pro license.
the pro license is billed monthly in advance to the card you add and runs until you cancel it; it then ends at the end of the month you have already paid for. by adding a card, you authorise us to charge it every month without asking you again. fees that have been paid are not refunded, including when the contract ends or Holdspace is discontinued. we may change the plans, the prices and the revenue share. if a change means that you pay more or receive less, we will announce it at least 30 days before it applies, so that you can cancel beforehand; if you continue to use Holdspace after the change has taken effect, you accept it.
5. payments
your participants pay through Stripe, directly into your own Stripe account, and Stripe’s own terms and fees apply to that account. on the incubator, Holdspace’s share is deducted automatically from each payment and the rest is yours; Holdspace never holds your money. refunds, disputes and chargebacks with your participants are a matter between you and them and are handled on your Stripe account; when you refund a payment, the revenue share on it is refunded as well.
memberships run as subscriptions on your Stripe account, and your participants can cancel or switch them on their own. an upgrade starts right away, and the difference for the rest of the current month is charged at once; a downgrade takes effect at the end of the month that has already been paid for.
6. your affiliate program and discount codes
your affiliate program is an arrangement between you and your affiliates. you set its numbers in your dashboard: the discount for referred friends, the commission, the hold period, the minimum payout and the payout methods you offer (PayPal, Wise, Revolut and/or bank transfer). you pay out in your own currency. its terms form part of your participant terms, filled in with your numbers and stating that you operate the program through Holdspace. Holdspace tracks each affiliate’s commissions and shows you what you owe to whom. you pay your affiliates yourself, and you are responsible for paying them correctly and on time. Holdspace does not pay or hold affiliate commissions, and it is not responsible if a purchase is not tracked or is tracked incorrectly, for example because someone switched browser or device.
the same applies to your discount codes: you decide on them, and Holdspace applies them at checkout.
7. no circumvention of the revenue share
on the incubator, the revenue share is how Holdspace is paid for its work. you therefore agree that all sales to the participants you reach through Holdspace, for the sessions you run with it, are made and paid through Holdspace, and that you will not take any step, directly or indirectly, whose purpose or effect is to avoid or reduce the revenue share. free tickets, free memberships and free 1:1 sessions are meant for genuine gifts, scholarships, friends and team members.
we may review unusual activity and ask you about it. if you breach this clause, you owe us the revenue share that would otherwise have been due, and we may suspend or block your page or end the contract with immediate effect.
8. your responsibilities
you are responsible for your sessions and for everything that happens in them, including the wellbeing and safety of your participants, your qualifications and any insurance you need. you are also responsible for the texts, images, videos and music on your page and in your sessions, and for holding the rights to them, and for your own zoom account and its settings: if you record sessions or turn on captions or transcripts, you inform your participants and make sure that you are allowed to do so.
you are further responsible for the terms you agree with your participants. Holdspace provides their fixed parts; you are responsible for the parts you write yourself and for making sure that the terms as a whole comply with the consumer laws that apply to you and your participants. finally, you are responsible for any taxes on your sales.
9. not medical treatment, no professional advice, no guarantees
Holdspace is software. it is not medical treatment, and it is not a substitute for therapy or medical care. the same applies to the sessions you offer through it, unless you are licensed to provide such care where you and your participants are located. your page and your sessions must not promise healing, cures or medical results.
the templates and tools we provide, such as the participant terms, the page texts and the emails, are offered for convenience and are not legal, tax, medical, psychological or other professional advice. please check that they fit your business and your country.
we make no promises about results. the number of participants, your sales, your income and your growth depend on you, your offer and your marketing, and any examples, testimonials or numbers on our pages are illustrations only.
10. personal responsibility and assumption of risk
you use Holdspace entirely at your own risk, and you alone are responsible for your decisions, your offer and your business. Holdspace is not responsible for your results or outcomes, and to the fullest extent permitted by law, you release DRMAMU LLC from any liability for them.
11. no verification
Holdspace does not verify the identity of participants or affiliates, the payout details that affiliates enter, or the qualifications and claims of facilitators; all of this information is provided by the people themselves. please check it yourself before you rely on it, for example before you pay an affiliate. DRMAMU LLC is not liable for fraud, fake accounts, chargebacks or false information provided by anyone who uses Holdspace.
12. your participants and their data
your participants and their contact details belong to you. you are the controller of their personal data, and Holdspace processes it on your behalf as your processor within the meaning of art. 28 GDPR, only in order to run the platform and as described in our privacy policy. we never sell it. you need a legal basis for anything you do with this data, and you are responsible for answering your participants’ requests about it.
Holdspace supports you in this: you can export your list at any time, and you can delete a person’s personal data from your records in the people tab. a deletion only affects your own records, so the person’s data with other facilitators remains untouched, and the payment records you need for your bookkeeping are kept in anonymised form.
13. fair use
you may not use Holdspace for anything that is unlawful, misleading or harmful. in particular, you may not harass anyone, access data that is not yours, send spam, copy or resell the platform, or work around its fees or technical limits. if you breach this clause, we may remove content and suspend or block your access, without a refund.
14. intellectual property
ours. Holdspace, its software and code, its design, page layouts, templates, default texts, emails, logos and downloads belong to DRMAMU LLC and are protected by copyright and other laws. you may use them only to run your sessions through Holdspace, and only while the contract runs. you may not copy, reproduce, share, sell, publicly display, redistribute or reverse engineer them, or create derivative works or a competing product from them, and this also applies after the contract has ended.
yours. your content, such as your texts, photos, videos, music, session content, name and brand, remains yours. you grant DRMAMU LLC a worldwide, non-exclusive, royalty-free licence to host, store, copy, display, adapt (for example by resizing images) and transmit it as far as this is needed to run Holdspace, for as long as the contract runs and afterwards as far as needed for backups and legal records. you confirm that you own or hold the rights to everything you upload or use, including music and photos of other people (with their consent), and that it does not infringe anyone’s rights. we may remove content that does.
showcasing. you also grant DRMAMU LLC a worldwide, non-exclusive, royalty-free licence to name you as a Holdspace facilitator and to show your name, photo, logo and page (for example in screenshots) in our marketing, including our website, social media, presentations and advertising. you can withdraw this permission for the future at any time by email.
feedback. we may use any ideas and feedback you send us freely and without any obligation towards you.
15. availability and interruptions
we do our best to keep Holdspace running, but we do not promise that it is always available, fast or free of errors. Holdspace may be interrupted, paused, slowed down or unavailable, for example because of maintenance, updates, errors or attacks, or because a service it relies on (such as Stripe, zoom, email or hosting) has an outage. DRMAMU LLC accepts no liability whatsoever for interruptions, pauses or outages and their consequences, such as a session that cannot take place or starts late, emails or zoom links that arrive late or not at all, lost sales or refunds you give.
16. changes to Holdspace and discontinuation
we may change, add or remove features at any time. we may also stop offering Holdspace altogether, if it is no longer sustainable or for any other reason. in that case, we will inform you at least one month in advance, so that you can export your participants and records. no refunds are due on discontinuation.
17. ending the contract
you can end the pro license at any time, and it then runs until the end of the month you have paid for; you can end the incubator with one month’s notice. DRMAMU LLC can end the contract at any time and for any reason with one month’s notice by email, and with immediate effect in the event of misuse, a breach of these terms, unpaid fees or illegal content. the revenue share applies to every payment made until the contract ends. please export your data before the end date.
18. liability
Holdspace is provided “as is” and “as available”, without warranties of any kind, including warranties of accuracy, availability or timeliness, or that it is free of errors, data loss or security incidents. to the fullest extent permitted by law, DRMAMU LLC and its owners are not liable for any loss or damage arising from your use of Holdspace, from decisions you base on it or from services of third parties. this includes lost income or profit, lost data (whether caused by bugs, faulty programming, outages, hacks or otherwise), claims of your participants or affiliates, and any indirect or consequential damage. your sole remedy is to stop using Holdspace. where liability cannot be excluded by law, it is limited in total to the fees or revenue share you paid to Holdspace in the 12 months before the claim arose.
19. third-party services
Holdspace relies on services of other companies, such as Stripe for payments, zoom for the sessions, Resend for email, our hosting providers and our analytics tool Amplitude. their own terms apply, and we are not responsible for their performance, errors or policies.
20. indemnity
you indemnify and hold harmless DRMAMU LLC and its owners against all claims, losses, costs and expenses, including reasonable legal fees, that arise from your sessions, your content, your dealings with your participants and affiliates, or a breach of these terms by you.
21. emails from us
we send you service emails, for example sign-in links, payment confirmations and notices of changes to these terms, and from time to time news about Holdspace. you can opt out of the non-essential emails at any time. Holdspace also sends emails to your participants on your behalf, such as confirmations, reminders and sign-in links.
22. governing law and other provisions
these terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules, and the courts in Wyoming have exclusive jurisdiction. we may update these terms; we will announce material changes by email at least 30 days before they apply, and if you continue to use Holdspace after that, you accept them. if any clause of these terms is invalid, the remaining clauses stay in force. we may transfer this contract to a company that continues to operate Holdspace.
